The structure is a forward Ijarah (lease): investors' money purchases beneficial ownership of road assets held by FGN Roads Sukuk Company 1 Plc, which leases them to the Federal Government; the semi-annual payments are contractually rental income for use of those assets, not interest on a loan, and principal returns at maturity as a bullet redemption when the assets are transferred. Each series is certified by FRACE, the CBN's standing council of Shariah experts, before issuance, and the offer documents ring-fence proceeds solely for the construction and rehabilitation of key roads, an identifiable, permissible real-asset use. The instruments carry practical endorsements of their compliance too: Nigeria's non-interest banks, takaful operators and Fund VI pension portfolios are among the largest subscribers, and the sukuk qualify as liquid assets for non-interest banks under CBN rules. Residual Shariah debates common to sovereign ijara sukuk, such as purchase undertakings at par, apply here as they do globally, but this is as clean as sovereign halal fixed income gets in Nigeria.
